Terms & Conditions

ACADEMIC + COMMERCIAL + OPERATIONAL

Last updated: February 2026 | Applicable to all engagements with KalkiOrion Robotics Labs. Read carefully — your relationship with us is governed by these terms.

1. SCOPE OF ENGAGEMENT

These Terms & Conditions apply to all schools engaging with Kalki Orion Robotics Labs (“Provider”) for:

  • Robotics & STEM programs
  • DIY kits & accessories
  • Training & certification
  • Platform access
  • Competitions & events

Acceptance of a proposal, MoU, or invoice implies acceptance of these Terms.

2. KIT SUPPLY & OWNERSHIP

Phase 1 — Core DIY Robotics Kit
Supplied as part of Year-1 setup. Includes base controller, motors, sensors, wiring, mechanical parts. Designed for 15+ projects. Reusable across batches and academic years.

Phase 2 — Advanced / Expansion Kits (Optional)
Includes advanced sensors, automation modules, IoT/AI add-ons. Introduced only after Phase-1 completion. Charged separately based on selected modules.

Ownership: Company Licensed owned KIT for schools or parents as agreed. Curriculum, firmware, platform integration remain Provider IP.

3. DAMAGE & REPLACEMENT

Covered (Manufacturing Defects Only)

  • Defective components identified within 7 days of delivery → replacement at no cost

Not Covered (Chargeable)

  • Physical damage, water/fire damage, mishandling, loss/theft, unauthorized modification

Replacement Charges: Individual component at actual cost; complete kit at prevailing price. School responsible for safe storage & supervision.

Kits are learning equipment, not toys.

4. TRAINING CHARGES

Teacher Training (Standard) – Covers orientation, kit handling, platform usage, assessment workflow.

Additional / Advanced Training – Level-2 or refresher training may be charged separately. Charges communicated in advance.

Trainer from Provider – Billed separately as Shared / Dedicated / Hybrid. Attendance, discipline, infrastructure are school responsibility.

5. ANNUAL LICENSE

Year-1: Included as part of setup package or one time setup fee chargable.

Year-2 Onwards (Mandatory): Annual license & AMC payable to continue: platform access, certificate issuance, dashboard & verification, curriculum updates, competition eligibility.

If license expires: new certificates stop, dashboard access pauses, competition access stops. Previously issued certificates remain desappear.

6. ACCESSORIES

Accessories include additional sensors, boards, tools, or expansion modules. Consumables (wires, fasteners, batteries) are not unlimited. Charged separately if replenishment required. Pricing shared prior to dispatch.

7. ADVANCED MODULES

Innovation labs, AI/IoT projects, capstone modules are optional. Available only after prerequisite levels are completed. Charged separately based on scope. Subject to student eligibility & platform unlock rules.

8. FREE DEMO

Free demo is: time-bound (typically 2 hours), non-commercial, for evaluation only.

Demo Limitations: No certificates, no competition eligibility, no long-term access guaranteed.

Demo does not imply obligation to continue.

9. CERTIFICATES

Certificate Rules: Issued only via Provider platform after: project submission, assessment completion, attendance criteria, fee clearance.

Charges: Certificate cost may be included in package OR charged per student (as agreed).

Manual or offline certificates are invalid.

10. COMPETITIONS

Optional but encouraged. Entry fees depend on level (Intra / District / State / National) and event scope/logistics.

Eligibility: Active school license, minimum 5 project completion, verified student portfolio.

Competition fees are non-refundable once registered.

11. PAYMENT TERMS

Year-1: 100% advance payment. Renewal invoices raised 60 days before expiry. All prices exclusive of applicable taxes unless stated.

No activation, certification, or competition entry without payment clearance.

12. KPI & LIABILITY

Provider Responsible For: Platform uptime, curriculum availability, kit quality at dispatch, assessment & certification system.

School Responsible For: Student attendance, discipline, timetable allocation, internet & power availability.

Provider is not liable for outcomes affected by school-side constraints.

13. TERMINATION

Either party may terminate as per MoU notice period. Unauthorized use of curriculum, platform, or branding after termination is prohibited. IP protection survives termination.

14. GOVERNING LAW

These Terms & Conditions are governed by the laws of India. Jurisdiction shall be Delhi.

Acknowledgment

By engaging with KalkiOrion Robotics Labs, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
